AGENT / AUTHORIZED RESELLER AGREEMENT

1. Parties

This Agreement is between Valmont Gadgets ("Company", "Valmont"), located in Accra, Ghana, and the individual whose details appear below ("Agent" / "Authorized Reseller").

2. Appointment

Company appoints Agent as a non-exclusive VALMONT GADGETS - AUTHORIZED RESELLER to market and resell genuine mobile phones, laptops, and accessories in Ghana. Agent is NOT an employee but an independent reseller.

3. No Fee, Capital Model

• Zero registration fee. Agent pays nothing to join.
• Agent operates on dropship model: Agent finds customer, collects payment, pays Company wholesale price, keeps 100% profit.
• Agent's capital (e.g. GH₵ 7,000) remains with Agent. Agent only pays when customer is confirmed.
• Company never asks for MoMo PIN, OTP, or upfront capital transfer.

4. Company Obligations

• Provide wholesale price list with Company logo, address, phone number.
• Provide daily pictures/videos of available stock via WhatsApp Channel.
• Deliver working phones with 12-month warranty, nationwide delivery.
• Provide Agent ID (e.g. VG-AGENT-026 - Kreece), flyer, and ID card template.
• Maintain WhatsApp Business catalog with all iPhones (Xr to 17 Pro Max).

5. Agent Obligations & Anti-Scam

• Agent shall not scam customers. All phones must be described truthfully (e.g. UK Used, BH %, sealed, eSIM lock).
• One Ghana Card = one agent account. Fake cards will be banned permanently.
• Agent must verify identity via Ghana Card pic + number only.
• Agent shall not collect money claiming to be Valmont Gadgets bank account unless instructed on official WhatsApp 054 245 1578.
• Agent shall not sell counterfeit or non-Valmont stock as Valmont stock.

6. Profit & Payment

Retail Price is set by Agent (recommended price list provided). Profit = Retail Price − Wholesale Price − Delivery/MoMo fees. Company delivers after receiving wholesale amount. Customer pays Agent directly.

7. Term & Termination

This agreement starts on signature date and continues until terminated by either party. Company may terminate immediately if Agent is involved in fraud, scam, or misrepresentation.

8. Official Branding

Agent is entitled to use title: VALMONT GADGETS - AUTHORIZED RESELLER and Agent ID format VG-AGENT-XXX - Name. All flyers must include Company logo, official phone 054 245 1578, and "Xr to 17 Pro Max Available".

9. Governing Law

This Agreement is governed by laws of Ghana. Disputes to be resolved amicably, failing which, by Accra courts.

Official document. Keep a signed copy. WhatsApp signed copy to 054 245 1578 for verification.
